CureVac Announces Proposed Initial Public Offering of Common Shares
TÜBINGEN, GERMANY and BOSTON, MA / August 10, 2020 / CureVac B.V. (“CureVac” or the “Company”), a clinical-stage biopharmaceutical company developing a new class of transformative medicines based on messenger ribonucleic acid (“mRNA”), announced today that it intends to offer and sell in an underwritten public offering of 13,333,333 common shares. In addition, the Company expects to grant the underwriters a 30-day option to purchase up to an additional 1,999,999 common shares at the initial public offering price, less underwriting discounts and commissions. All the shares will be offered by CureVac. The initial public offering price is expected to be between $14.00 and $16.00 per common share. CureVac has applied to list its common shares on The Nasdaq Global Market under the ticker symbol “CVAC”.
BofA Securities, Jefferies and Credit Suisse are acting as joint book-running managers for the proposed offering, with Berenberg and Kempen & Co acting as passive book-running managers.
CureVac intends to use the net proceeds from the offering and a concurrent private placement, together with cash and cash equivalents on hand, as follows: (i) to fund the Company’s mRNA vaccine program against SARS-CoV-2 through the completion of Phase 3; (ii) to fund the expansion of the Company’s short term manufacturing capabilities; (iii) to advance the Company’s lead oncology program, CV8102, through the completion of the Phase 2 clinical trial; (iv) to advance the Company’s vaccine program, CV7202 in rabies through the completion of the Phase 2 clinical trial and (v) to invest in further development of the Company’s mRNA technology platform and to advance the development of other preclinical and clinical programs.
