The share issuance is in connection with the Company’s prior acquisition of all of the issued and outstanding shares of Clinic Operations Limited, a wholly-owned subsidiary of Health Clinics Limited (“Acquisition”). The issuance of these shares is contingent upon the achievement of certain milestones.
Of the Common Shares voted at the Meeting, 90.005% of the Common Shares were voted in favour of the Resolution.
