CELSION CORPORATION ANNOUNCES $7.0 MILLION REGISTERED DIRECT OFFERING PRICED AT-THE-MARKET UNDER NASDAQ RULES

LAWRENCEVILLE, NJ, April 06, 2022 (GLOBE NEWSWIRE) — Celsion Corporation (NASDAQ: CLSN) (“Celsion” or the “Company”), today announced it has entered into definitive agreements with institutional investors for the purchase and sale of 1,328,274 shares of its common stock at a purchase price of $5.27 per share in a registered direct offering priced at-the-market under Nasdaq rules, for gross proceeds of $7.0 million before deducting placement agent fees and expenses. The closing of the offering is expected to occur on or about April 8, 2022, subject to the satisfaction of customary closing conditions.

A.G.P./Alliance Global Partners is acting as sole placement agent for the offering.

This offering is being made pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-254515) previously filed with the U.S. Securities and Exchange Commission (the “SEC”) under the Securities Act of 1933, as amended, which was declared effective by the SEC on March 30, 2021.
