Justera Health Announces Non-Brokered Private Placement Pursuant to Listed Issuer Financing Exemption

Toronto, Ontario–(Newsfile Corp. – August 22, 2023) – Justera Health Ltd. (CSE: VTAL) (OTC Pink: SCRSF) (formerly ScreenPro Security Inc.) (“Justera” or the Company“) is pleased to announce its intention to complete a non-brokered private placement of a minimum of 16,666,667 Common Shares and a maximum of 50,000,000 Common Shares of the Company at a price of $0.03 per Share for gross proceeds of a minimum of $500,000 and a maximum of up to $1,500,000 (the “Offering“).

The Offering is scheduled to close in one or more tranches with the final closing no later than October 3, 2023, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the CSE. Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 – Prospectus Exempt Distributions (“NI 45-106”), the Offering is being made to purchasers’ who reside in Canada, except Quebec, pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the “Listed Issuer Financing Exemption“). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws.

The net proceeds from the Offering will be utilized for the purpose of opening the Company’s retail establishments, marketing and promoting Naturevan products to enhance sales, acquiring new equipment, facilitating the marketing and promotion of its recently acquired wellness business, and supporting general working capital needs.

The Offering will allow the Company to raise money by selling securities to a limited number of potential investors in order to help increase Company capital for further expansion and to support the Company’s long-term growth strategy.
